These Terms of Service (“Terms”) govern your purchase and use of services provided by Globus MB LLC, doing business as Globus Agency (“Globus Agency,” “we,” “us,” or “our”).

By purchasing, subscribing to, or using our services, you agree to these Terms.

## 1. Services

Globus Agency provides digital marketing and business technology services, which may include:

- Website design, development, maintenance, and hosting

- Lead generation setup and related marketing services

- AI chatbot setup and deployment

- Google review automation and reputation management systems

- CRM, automation, and related digital services

The specific services included in your subscription or purchase will be described on the applicable checkout page, service page, proposal, invoice, or written agreement.

## 2. Billing and Recurring Payments

Unless otherwise stated at checkout, our services are provided on a monthly subscription basis and billed in advance.

By purchasing a recurring subscription, you authorize Globus Agency and its payment processing providers to charge your selected payment method for the applicable subscription amount and any agreed fees.

Your subscription will automatically renew each billing period until canceled.

All prices and transaction currencies will be displayed before payment is completed.

You are responsible for maintaining accurate and current billing and payment information.

If a payment fails, we may temporarily suspend or discontinue services until payment is successfully received.

## 3. Cancellation

You may cancel your subscription at any time by contacting us at [email protected].

Cancellation stops future renewals. Unless otherwise agreed in writing, services already paid for will remain available through the end of the current paid billing period.

Cancellation does not automatically entitle you to a refund for amounts already paid.

## 4. Refunds

Refund eligibility is governed by our Refund Policy, which is incorporated into these Terms by reference.

By completing your purchase, you acknowledge that you have had an opportunity to review our Refund Policy before payment.

## 5. Service Delivery

Our services are delivered digitally.

After payment and receipt of the information reasonably required from you, we will begin onboarding and service delivery. Delivery timelines vary depending on the service purchased, the complexity of the project, and how quickly the client provides required information, approvals, access, and feedback.

Any estimated completion or launch dates are estimates unless expressly guaranteed in writing.

## 6. Client Responsibilities

You agree to provide accurate and complete information necessary for us to perform the services.

You are responsible for providing requested materials, account access, business information, approvals, and feedback within a reasonable timeframe.

Delays caused by missing information, access, approvals, or feedback may delay delivery of our services.

You are responsible for ensuring that information, content, customer lists, trademarks, images, and other materials you provide to us may lawfully be used for the requested services.

## 7. Results and Performance

Unless expressly stated in a separate written agreement, Globus Agency does not guarantee any specific number of leads, customers, sales, reviews, revenue, search rankings, advertising results, or other business outcomes.

Results may vary based on factors including market conditions, competition, advertising budgets, client responsiveness, sales processes, pricing, geographic area, and other circumstances outside our control.

## 8. Intellectual Property

Globus Agency retains ownership of its proprietary systems, processes, templates, software, automation frameworks, methodologies, and other pre-existing intellectual property.

Ownership and usage rights for websites, designs, content, or other custom deliverables may be further specified in the applicable service agreement, proposal, or invoice.

Clients retain ownership of their pre-existing trademarks, logos, business information, and other materials provided to Globus Agency.

## 9. Payment Security and Sensitive Information

Payments may be processed through third-party payment processors.

Payment card details and other sensitive payment information submitted during checkout are transmitted using secure, encrypted connections provided by our payment processing infrastructure.

Globus Agency does not intentionally collect or store complete payment card numbers, card security codes (CVV/CVC), or other full card credentials on its own servers when payments are processed by third-party payment processors.

Payment information may be collected, transmitted, processed, and stored by the applicable payment processor in accordance with its security standards, terms, and privacy practices.

Customers should not send full credit or debit card information through email, SMS, contact forms, or other unsecured communication methods.

## 10. Privacy

Our collection and use of personal information is governed by our Privacy Policy.

By using our website or services, you acknowledge that you have reviewed our Privacy Policy.

## 11. Third-Party Services

Our services may rely on third-party platforms, software, hosting providers, advertising platforms, CRM systems, payment processors, and other service providers.

We are not responsible for outages, policy changes, account restrictions, service interruptions, or other actions taken by third-party providers outside our reasonable control.

## 12. Limitation of Liability

To the fullest extent permitted by applicable law, Globus Agency and Globus MB LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.

To the fullest extent permitted by applicable law, our total liability relating to a service will not exceed the amount you paid to Globus Agency for that service during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

We may update these Terms periodically.

When material changes are made, we may update the effective date displayed at the top of this page. Your continued use of our services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

These Terms are governed by the laws applicable to Globus MB LLC in the United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
